Service Limitations

We do not provide physical installation services, electrical work, or structural modifications. Equipment procurement is the responsibility of the client, though we provide detailed specifications and vendor recommendations.

4. Payment Terms and Billing

Implementation and Maintenance
- Follow provided installation and configuration instructions precisely
- Maintain recommended environmental conditions for equipment operation
- Implement suggested security measures and access controls
- Notify us promptly of any changes to requirements or site conditions
- Perform routine maintenance tasks as outlined in our documentation
Communication and Cooperation
- Respond promptly to requests for information or clarification
- Participate in scheduled meetings and review sessions
- Provide feedback on deliverables within agreed-upon timeframes
- Coordinate with internal teams and external vendors as needed
6. Service Limitations and Exclusions
While we strive to provide comprehensive solutions, certain limitations apply to our services to ensure clarity and manage expectations appropriately.

- Recommendations are based on information provided by the client and may require adjustment if conditions change
- We do not provide physical installation, electrical work, or structural modifications
- Equipment procurement and vendor relationships are the client's responsibility
- Performance may vary based on environmental factors beyond our control
- Some legacy equipment may not be compatible with modern configurations
- Internet service provider limitations may affect overall network performance
Scope Exclusions
- Physical security systems and access control integration
- Voice over IP (VoIP) system configuration and optimization
- Enterprise-grade network management and monitoring systems
- Compliance with industry-specific regulations (healthcare, finance, etc.)
- Custom software development or application integration
- Training services for client personnel
Environmental and External Factors
- RF interference from external sources or neighboring networks
- Building construction changes or renovations after assessment
- Power infrastructure limitations or electrical code compliance
- Internet service provider performance or reliability issues
- Force majeure events affecting service delivery
7. Warranties and Service Guarantees
We stand behind the quality of our work and provide specific warranties and guarantees for our services.
Service Quality Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards and best practices. Our recommendations will be based on sound engineering principles and current technology standards.
Accuracy Guarantee
We guarantee the accuracy of our power budget calculations and equipment recommendations based on the information provided. If errors are discovered within 90 days of delivery, we will provide corrections at no additional charge.

Warranty Limitations
EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT OUR SERVICES WILL MEET ALL YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
8. Limitation of Liability and Indemnification
To ensure fair risk allocation and business sustainability, the following liability limitations apply to our services.

IN NO EVENT SHALL POE SCOUT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify and hold harmless PoE Scout from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of third-party rights.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
9. Intellectual Property Rights and Ownership
Intellectual property rights are clearly defined to protect both parties' interests and ensure appropriate use of proprietary information.
Our Intellectual Property
- All methodologies, processes, and proprietary tools remain the property of PoE Scout
- Documentation templates, configuration frameworks, and analysis tools are licensed for your use
- Trademarks, service marks, and brand elements may not be used without permission
- Software tools and applications are provided under limited license terms
Client Intellectual Property
- You retain ownership of all proprietary business information and data
- Site-specific configurations and customizations become your property upon payment
- You grant us a limited license to use your information solely for service delivery
- We will not disclose your proprietary information to third parties without consent
Deliverable Ownership
- Final deliverables, including configurations and documentation, become your property
- You receive a non-exclusive license to use our methodologies for your specific project
- Derivative works based on our deliverables may be created for your internal use
- Commercial redistribution of our work products is prohibited without written consent
10. Confidentiality and Non-Disclosure

11. Term, Termination, and Survival

Attorney Fees and Costs
